Audit Committee

The audit committee is primarily responsible for monitoring the quality of internal and external controls and for ensuring proper financial accounting and reporting policies are put in place. In particular, the audit committee makes recommendations as to the appointment, reappointment or removal of external auditors and monitor the performance, independence and objectivity of such auditors.

The committee receives and reviews reports from the auditors on the interim and annual accounts and has unrestricted access to the auditors of Premium Bars & Restaurants plc.

Charles Williamson is the chairman of the audit committee.

Remuneration Committee

The remuneration committee reviews the performance of the Executive Directors and makes recommendations to the Board on matters relating to their remuneration and terms of employment.

The remuneration committee also makes recommendations to the Board on proposals for the granting of equity incentives pursuant to the Premium Bars & Restaurants plc Share Option Scheme or any other equity incentive scheme that could come into force at any time.

Charles Williamson is the chairman of the remuneration committee.
